These Terms and Conditions (“Terms”) govern the services provided by Apex VisionWorks (“Company,” “we,” “us,” or “our”) to clients (“you” or “Client”) related to visual effects (VFX), CGI, 3D animation, product and real estate visualization, AR/VR experiences, and related digital creative solutions.

By entering into an agreement, submitting a project brief, making a payment, or approving work, you acknowledge and agree to these Terms.

1. Scope of Services

We provide the following services:

  • CGI and 3D Animation
  • Visual Effects (VFX)
  • Product Visualization (Images, Videos, 360°)
  • Real Estate Visualization (Interior/Exterior CGI, Virtual Tours)
  • Augmented Reality (AR) and Virtual Reality (VR) Experiences
  • Automobile Visualization

All services will be outlined in a project-specific proposal or agreement. Any additional work requested outside the agreed scope may incur extra charges.

2. Project Workflow

a. Initial Consultation: We discuss your goals, requirements, and timelines.
b. Proposal & Quote: A detailed proposal with deliverables, timelines, and pricing is provided.
c. Approval & Deposit: Work begins after written approval and receipt of a deposit (typically 50%).
d. Revisions: We include a specified number of revisions per deliverable unless otherwise stated.
e. Final Delivery: Upon final approval and full payment, we deliver the final assets.

3. Payments

  • A 50% advance is required to begin work unless agreed otherwise.
  • The remaining 50% is due upon completion, prior to delivery of final assets.
  • Late payments beyond 7 days of the due date may incur a late fee of 5% of the total invoice.
  • All prices are in [Insert Currency] unless specified.

4. Ownership and Licensing

  • Final deliverables are licensed to the Client for the intended use only (e.g., marketing, advertising, internal presentations).
  • Apex VisionWorks retains full copyright and ownership of source files, project files (e.g., Blender files), and working assets unless a full buyout is negotiated.
  • The Client may not resell, modify, or distribute the assets beyond agreed usage without prior written consent.

5. Client Responsibilities

You agree to:

  • Provide timely feedback, approvals, and required assets (logos, product models, branding guidelines).
  • Respond within 3 business days to project updates to avoid delays.
  • Ensure you have all necessary permissions to use any third-party content you provide.

6. Revisions Policy

Each project includes up to 2 free rounds of revisions unless stated otherwise. Additional revisions or scope changes will be billed at [Insert Hourly Rate or Flat Fee].

7. Deadlines and Delays

  • We aim to meet all deadlines, but delays may occur due to late feedback, scope changes, or technical issues.
  • Apex VisionWorks is not liable for delays caused by force majeure events, including but not limited to natural disasters, internet outages, or third-party failures.

8. Confidentiality

Both parties agree to maintain the confidentiality of all project-related information, assets, and communications, unless public use is agreed upon or required by law.

9. Portfolio Rights

Unless a Non-Disclosure Agreement (NDA) is signed, Apex VisionWorks reserves the right to display completed work in our portfolio, website, and marketing materials.

10. Cancellations and Refund Policy

Due to the customized and labor-intensive nature of our service-based business, all payments made to Apex VisionWorks are non-refundable.

Once work has commenced, no refunds will be issued under any circumstances, including but not limited to dissatisfaction with creative direction, missed deadlines due to client-side delays, or changes in business decisions.

Clients are encouraged to thoroughly review proposals, ask questions, and provide clear feedback throughout the project lifecycle.

11. Limitation of Liability

Apex VisionWorks is not liable for:

  • Indirect or consequential damages.
  • Loss of business due to delivery delays.
  • Errors in final assets once approved by the client.

12. Governing Law

These Terms are governed by the laws of India. Any disputes will be handled in the courts of India.
